1. Introduction and acceptance

These Terms of Service (these “Terms”) govern access to and use of Keystone, an artificial-intelligence assistant (the “Service”), provided by Mosaic AI Technology Labs Ltd, a company incorporated in the Dubai International Financial Centre with registered number 14517 and registered office at IH-00-01-03-OF-05, Level 3, Innovation One, Dubai International Financial Centre, Dubai, United Arab Emirates (“Mosaic”, “we”, “us” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you are accessing the Service on behalf of a business or other organisation, you represent that you have the authority to bind that organisation to these Terms, and “you” refers to both you individually and that organisation.

These Terms should be read together with the Keystone Privacy Policy referenced in Section 6, which forms part of these Terms.

2. About the Service

Keystone is an artificial-intelligence assistant that connects only to a WhatsApp Business account that you authorise, together with your Google or Microsoft account for sign-in and calendar access. It reads the contacts saved on your connected WhatsApp Business number, which it adds to your clients, and the conversations on that number. From these, and from what you enter through the Service’s chat, voice input and file uploads, it builds and keeps current a CRM that is private to you (clients, requirements, listings, proposals and notes). It reads your Google or Microsoft calendar to provide meeting context and preparation, creates a calendar event only when you ask it to book a meeting or approve a meeting it proposes, and updates an event only to add context from your CRM to the description of an upcoming meeting with one of your clients (together, the “Service”). Access to WhatsApp is read-only: the Service does not send WhatsApp messages or reply on your behalf, and it does not delete calendar events. Mosaic may add, change, suspend or discontinue any feature of the Service at any time.

3. Eligibility and authorised users

The Service is available to individuals who are (a) at least 18 years old, and (b) authorised to use the Service on behalf of a business that has an account with Mosaic. You access the Service by signing in with a Google or Microsoft account that your business has authorised, and by connecting your business’s WhatsApp Business account.

You must use the Service only through the account through which you were authorised, keep your credentials confidential, and promptly notify us at info@mosaicsolutions.ai of any unauthorised use of your account. Mosaic may suspend or revoke your access to the Service at any time, including on the end of your authorisation or of your business’s account.

4. Acceptable use

You must use the Service only for legitimate business purposes connected to your authorised role, and in compliance with these Terms, the Privacy Policy, and applicable law. You must not:

  • (a) access or attempt to access data, accounts or systems you are not authorised to access;
  • (b) reverse engineer, decompile or attempt to derive the source code of the Service;
  • (c) use the Service to send unsolicited communications, or to generate or transmit content that is unlawful, defamatory, infringing or otherwise harmful;
  • (d) interfere with, disrupt or attempt to circumvent the security or performance of the Service;
  • (e) use the Service in a manner that violates the terms of any third-party service it integrates with, including Google’s Terms of Service and the Google API Services User Data Policy, Microsoft’s API terms, or the WhatsApp Business Solution Terms and Meta’s platform policies;
  • (f) use the Service to process personal data or confidential information other than as authorised by your role and your organisation’s policies; or
  • (g) connect a WhatsApp Business account, calendar or other account without the authority and any consents needed for Mosaic to access and process the data in it on your behalf.

5. Intellectual property

As between you and Mosaic, Mosaic and its licensors own all right, title and interest in and to the Service, including its software, models, workflows, documentation and trademarks. Subject to your compliance with these Terms, Mosaic grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your authorised business purposes. No other rights are granted by implication, estoppel or otherwise.

You retain all rights in the content and data you submit to, or generate through, the Service (“Your Content”). You grant Mosaic the licence necessary to host, process and use Your Content to provide, maintain, secure and improve the Service, subject to and consistent with the Privacy Policy, including its commitment that Mosaic does not use your content to develop, train or improve generalised artificial-intelligence models.

6. Data handling and privacy

Mosaic’s collection, use, storage and sharing of personal data in connection with the Service, including personal data accessed through Google APIs, is described in the Keystone Privacy Policy, available at https://www.mosaicsolutions.ai/keystone/privacy and incorporated into these Terms by reference. For the conversations on your connected WhatsApp Business number and the CRM built from them — including the personal data of the customers who message you — your business is the controller and Mosaic acts as your processor, under a data processing agreement, as described in the Privacy Policy. By using the Service you acknowledge the practices described in that Privacy Policy.

7. Third-party services

The Service integrates only with the WhatsApp Business Platform (provided by Meta), Google (for sign-in and Calendar), Microsoft (for sign-in and Calendar), Anthropic (Claude), which provides the language processing behind the Service’s responses, and OpenAI, which provides speech-to-text for voice input. The providers that host the Service are listed among the sub-processors in the Privacy Policy. Your use of Google user data accessed through the Service is governed by the Privacy Policy and complies with the Google API Services User Data Policy, including its Limited Use requirements. Your use of WhatsApp Business data is subject to the WhatsApp Business Solution Terms and Meta’s platform policies, and your use of Microsoft data is subject to Microsoft’s API terms. Mosaic is not responsible for the availability, content, security or practices of these third-party services, and connecting any of them to the Service is at your discretion and, where required, subject to your organisation’s authorisation.

8. Disclaimers

THE SERVICE, INCLUDING ANY ARTIFICIAL-INTELLIGENCE-GENERATED OUTPUT, IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY OR UNINTERRUPTED OPERATION.

OUTPUT GENERATED BY THE SERVICE, INCLUDING THE CRM RECORDS IT CREATES OR UPDATES, MAY BE INACCURATE OR INCOMPLETE, DOES NOT CONSTITUTE PROFESSIONAL ADVICE, AND MUST BE REVIEWED AND VERIFIED BY YOU BEFORE YOU RELY OR ACT ON IT.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOSAIC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, WHETHER BASED ON CONTRACT, TORT OR ANY OTHER LEGAL THEORY, EVEN IF MOSAIC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

This Section 9 does not limit or exclude liability for fraud, gross negligence or wilful misconduct, or any other liability that cannot be limited or excluded under applicable law.

10. Term, suspension and termination

These Terms apply for as long as you access or use the Service. Mosaic may suspend or terminate your access to the Service at any time, with or without notice, including if your authorisation to use the Service ends, if you breach these Terms, or if Mosaic discontinues the Service. Sections 5 (Intellectual Property), 6 (Data Handling and Privacy), 8 (Disclaimers), 9 (Limitation of Liability) and 12 (Governing Law) survive any termination or expiry of these Terms.

11. Changes to these Terms

Mosaic may update these Terms from time to time. Where a change is material, we will provide reasonable notice before it takes effect. Your continued use of the Service after a change takes effect constitutes your acceptance of the updated Terms.

12. Governing law

These Terms, and any matter arising out of or in connection with them (including non-contractual disputes), are governed by the laws of the Dubai International Financial Centre, and the courts of the Dubai International Financial Centre have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.

13. General

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Mosaic regarding the Service and supersede any prior agreements or understandings on this subject. If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect. Mosaic’s failure to enforce a provision is not a waiver of its right to do so later. You may not assign these Terms without Mosaic’s prior written consent; Mosaic may assign these Terms in connection with a merger, acquisition, reorganisation or sale of assets.
